Shareholder Disputes – Litigation among shareholders of a privately held corporation can arise because of misconduct of one of the officers, the death or divorce of a key shareholder, the failure to pay dividends, the unfair exclusion of a minority shareholder, or for a variety of other reasons.

Inverse Condemnation and Nuisance Claims – We have experience in numerous types of property law disputes. Inverse condemnation occurs when private property is taken by the government and inadequate compensation is provided. Nuisance claims arise when a private property owner’s noise, pollution, or dangerous activities interfere with the rights of neighbors or of the public.

Franchise Disputes – Litigation between franchisors and franchisees arises for a number of reasons, including simple monetary disputes, encroachment and unfair competition, initial investment costs, advertising, and the termination of the franchise contract. Shareholder Liability – Shareholders are generally liable for a corporation’s debts only to the extent of their investment in a corporation. Derivative Actions – Shareholder derivative lawsuits are filed when an individual shareholder wishes to take action in the name of the corporation, against a third party, often because the corporation’s management has failed to act.

Business Valuation Disputes – Assessing the true value of a business becomes a legal matter when a dispute arises between two or more parties with vested interests in the business. We will protect your interests.

Fraudulent Transfers – Litigation in this area often arises during bankruptcy proceedings, when a creditor claims that a debtor fraudulently conveyed assets to another in order to avoid paying the creditor. Our attorneys can help you navigate the complexities of this area of the law.

If another party is actually responsible for the contamination, we can prosecute a cost recovery litigation.
